1. Acceptance of Terms

By accessing and using Kindflow (“the Service”), operated by Nedati Technologies Private Limited, you accept and agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including organization administrators, team members, developers, and end users who interact with agents deployed through the Service.

2. Description of Service

Kindflow is an enterprise-grade intelligent agent platform that enables businesses to transform Standard Operating Procedures (SOPs) into Agent Operating Procedures (AOPs) and deploy deterministic AI agents that execute those procedures.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide at least 30 days notice before discontinuing core functionality or making material changes.

3. User Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your credentials and for all activities that occur under your account.

Organization administrators are responsible for managing user access, roles, and permissions within their organization. You agree to notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Deploy agents that transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems or other user accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Deploy agents that impersonate real individuals without disclosure
  • Use the Service to make automated decisions that materially affect individuals without appropriate human oversight
  • Use automated systems to extract data from the Service beyond its intended API

5. Agent Deployment and Responsibility

You are responsible for the agents you deploy through the Service and the Agent Operating Procedures that govern them. This includes:

  • Ensuring AOPs comply with applicable laws and regulations in your jurisdiction
  • Disclosing to end users that they are interacting with an AI agent where required by law
  • Monitoring agent behavior and reviewing audit trails regularly
  • Maintaining appropriate human escalation paths for complex or sensitive interactions
  • Ensuring your agents do not provide medical, legal, or financial advice unless you are qualified and licensed to do so

6. Intellectual Property

The Service, its code, design, and functionality are the property of Nedati Technologies Private Limited and protected by applicable intellectual property laws.

You retain all rights to your SOPs, AOPs, agent configurations, and business data. By using the Service, you grant us a limited license to process this data solely to provide the Service.

We do not claim ownership over content generated by your agents during interactions with end users. Ownership of such content is governed by your agreements with your end users.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. We implement appropriate technical and organizational measures to protect your data.

You are responsible for ensuring your use of the Service complies with applicable data protection laws regarding your end users’ data. If your agents collect personal data from end users, you must have appropriate privacy notices and legal bases for processing.

8. Payment Terms

Certain features of the Service may be provided for a fee. You agree to provide accurate billing information. Subscription fees are billed in advance on a recurring basis.

You may cancel your subscription at any time. Upon cancellation, you retain access until the end of your current billing period.

We reserve the right to modify pricing with at least 30 days advance notice via email. Continued use after the price change constitutes acceptance of the new pricing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Nedati Technologies Private Limited SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM AGENT BEHAVIOR, INCORRECT AGENT RESPONSES, OR BUSINESS LOSSES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Nedati Technologies Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your violation of these Terms, your use of the Service, the behavior of agents you deploy, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. All deployed agents will be deactivated.

We will retain your data for 30 days following termination to allow for data export. After this period, your data will be permanently deleted.

12. Governing Law

These Terms shall be governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ghaziabad, Uttar Pradesh, India.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days notice via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
